Ownership of Site; Agreement to Terms of Use
These terms of use (the “Terms of Use”) apply to the Unite for Literacy LLC (“Unite”) web site located at https://www.uniteforliteracy.com/, https://www.unitebooks.com/, and all Unite associated sites and projects associated with https://www.uniteforliteracy.com/ and https://www.unitebooks.com/, (collectively, the “Site”). We (Unite) run a platform, and provide publishing tools, editorial, and graphic design services to help organizations create content in the form of picture books. Our content is intentionally curated to represent all genders, races, national origins, disabilities, and ages, in both text and images.

The Site is the property of Unite and its licensors. BY USING THE SITE, YOU AGREE TO THESE TERMS OF USE; IF YOU DO NOT AGREE, DO NOT USE THE SITE.

As long as you comply with these Terms of Use, we grant you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Site as intended. If these terms and conditions are considered an offer by Unite, acceptance is expressly limited to these terms.

We reserve the right, in our sole discretion, to change, modify, add or remove any part of the Site or portions of these Terms of Use, at any time. It is your responsibility to check these Terms of Use periodically for changes. Unite may also, in the future, offer new services and/or features through the Site (including, the release of new tools and resources). Such new features and/or services shall be subject to these Terms of Use. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes.

Your Account and Site. If you create a book on the Site, you are fully responsible for all activities that occur under the account and any other actions taken in connection with the Site. You must not describe or assign keywords to your book in a misleading or unlawful manner, including in a manner intended to trade on the name or reputation of others, and Unite may change or remove any description or keyword that it considers inappropriate or unlawful, or otherwise likely to cause Unite liability. You must immediately notify Unite of any unauthorized uses of your account or any other breaches of security. Unite will not be liable for any acts or omissions by You, including any damages of any kind incurred as a result of such acts or omissions.

Unite’s Discretion.

We provide guidelines for submission, but even if you follow those guidelines, we do not guarantee that your submission will be accepted for publication on the Site. Unite endeavors to provide a wide variety of content to budding readers. It is in our sole discretion to accept or reject a proposed book, or modify or edit any elements thereof, for inclusion in the Site, for any or no reason.

Unite has the right (though not the obligation) to, in Unite’s sole discretion (i) refuse or remove any Content that, in Unite’s reasonable opinion, violates any Unite policy or is in any way harmful or objectionable, or (ii) terminate or deny access to and use of the Site to any individual or entity for any reason. Unite will have no obligation to provide a refund of any amounts, if any, previously paid.

Responsibility of Contributors. You may submit or create books, images (photos or illustrations), script (words), or audio narrations (collectively, “Content”) via the Site or to us by other electronic methods including email and file transfer services, or otherwise make (or allow any third party to make) Content available by means of the Site. You are entirely responsible for the Content, and any harm resulting from that Content. That is the case regardless of whether the Content in question constitutes text, graphics, an audio file, or computer software. By making Content available, you represent and warrant that:

the downloading, copying and use of the Content will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark or trade secret rights, of any third party;

if your employer or another third party has rights to intellectual property you create, you have either (i) received permission to post or make available the Content, or (ii) secured from your employer a waiver as to all rights in or to the Content;

you are the creator of or have fully complied with any third-party licenses relating to the Content, and have done all things necessary to successfully pass through to end users any required terms;

the Content does not contain or install any viruses, worms, malware, Trojan horses or other harmful or destructive content;

the Content is not spam, is not machine- or randomly-generated, and does not contain unethical or unwanted commercial content designed to drive traffic to third party sites or boost the search engine rankings of third party sites, or to further unlawful acts (such as phishing) or mislead recipients as to the source of the material (such as spoofing);

the Content does not contain threats or incite violence towards individuals or entities, and does not violate any third party rights, including the rights of privacy or publicity;

your book(s) are not named in a manner that misleads your readers into thinking that you are another person or company. For example, your book’s URL or name is not the name of a person other than yourself or company other than your own.

Intellectual Property.

By submitting Content to Unite for inclusion the Site, you will retain the copyright in the individual elements of your Content such as the pictures, and text, and grant Unite a world-wide, royalty-free, and non-exclusive license to reproduce, modify, adapt and publish the Content solely for the purpose of displaying, distributing and promoting your book. in addition, as the publisher, Unite retains the rights to the display, publish, and sell the book as a whole completed work, in the format on which it appears on the Site. As such, you may adapt, re-use or adjust the individual elements of your book such as pictures and text, but you may not reproduce the work in its entirety as at it appears in Unite’s print or digital format.

If you request that the Content you submitted not be publicly displayed or distributed on the Site via an email request, Unite will use reasonable efforts to remove it from the Site, but you acknowledge that removal, caching or references to the Content may not be made immediately.

Please contact us if you would like to print the books that result from the submission of Content to the Site. We will give you a price quote to do so.

Responsibility of Site Visitors. While we at Unite use our discretion to reasonably select and review the Content, we do not make any guarantees, representations or warranties about it. By operating the Site, Unite does not represent or imply that it endorses the Content there posted, or that it believes such Content to be accurate, useful or non-harmful. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content. The Site may contain content that you may deem offensive, indecent, or otherwise objectionable, as well as content containing technical inaccuracies, typographical mistakes, and other errors. The Site may also contain Content that violates the privacy or publicity rights, or infringes the intellectual property and other proprietary rights, of third parties, or the downloading, copying or use of which is subject to additional terms and conditions, stated or unstated. Unite disclaims any responsibility for any harm resulting from the use by visitors of the Site, or from any downloading by those visitors of content there posted.

Copyright Infringement and DMCA Policy. As Unite asks others to respect its intellectual property rights, it respects the intellectual property rights of others. If you believe that Content located on or linked to by Pressbooks.com violates your copyright, you are encouraged to notify Unite in accordance with Unite’s Digital Millennium Copyright Act (“DMCA”) Policy. Unite will respond to all such notices, including as required or appropriate by removing the infringing Content or disabling all links to the infringing Content. Unite will terminate a visitor’s access to and use of the Site if, under appropriate circumstances, the visitor is determined to be a repeat infringer of the copyrights or other intellectual property rights of Unite or others. In the case of such termination, Unite will have no obligation to provide a refund of any amounts previously paid to Unite.

Intellectual Property.

Using the Site does not give you any rights in the books you read or other content you access on the Site, including books, illustrations, photographs, and narration (the “Content.”) You have only a limited right to read and use the Content in accordance with these Terms of Use.

Unite and its licensors and contributors own all intellectual property on the Site, and all right, title and interest in and to such property will remain (as between the you and Unite) solely with Unite. Unite and all other trademarks, service marks, graphics and logos used in connection with the Site are trademarks or registered trademarks of Unite, Unite’s licensors, or other third parties. Your use of the Site grants you no right or license to reproduce or otherwise use any Unite or third-party trademarks.

Advertisements. Unite reserves the right to display advertisements, notices of sponsorship in digital or print format on your Content or on the Site as a whole, or to otherwise monetize the Site and the Content thereon.

Termination. Unite may terminate your access to all or any part of the Site at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate these Terms of Use or your access to the Site, you may simply discontinue using the Site. All provisions of these Terms of Use which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Disclaimer of Warranties. THE SITE IS PROVIDED “AS IS”. UNITE AND ITS SUPPLIERS AND LICENSORS HEREBY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. NEITHER UNITE NOR ITS SUPPLIERS AND LICENSORS, MAKES ANY WARRANTY THAT THE SITE WILL BE ERROR FREE OR THAT ACCESS THERETO WILL BE CONTINUOUS OR UNINTERRUPTED. YOU UNDERSTAND THAT YOU DOWNLOAD FROM, OR OTHERWISE OBTAIN CONTENT OR SERVICES THROUGH, THE SITE AT YOUR OWN DISCRETION AND RISK.

Limitation of Liability. In no event will Unite, or its suppliers or licensors, be liable with respect to any subject matter of these Terms of Use under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement for substitute products or services; (iii) for interruption of use or loss or corruption of data; or (iv) for any amounts that exceed the fees paid by you to Unite under these Terms of Use during the twelve (12) month period prior to the cause of action. Unite shall have no liability for any failure or delay due to matters beyond their reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.

General Representation and Warranty. You represent and warrant that (i) your use of the Site will be in strict accordance with the Unite Privacy Policy, with these Terms of Use and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside) and (ii) your use of the Site will not infringe or misappropriate the intellectual property rights of any third party.

Indemnification. You agree to indemnify and hold harmless Unite, its contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of the Site, including but not limited to your violation of these Terms of Use or any of your representations or warranties contained herein.

Miscellaneous. These Terms of Use constitutes the entire agreement between Unite and you concerning the subject matter hereof, and they may only be modified by a written amendment signed by an authorized executive of Unite, or by the posting by Unite of a revised version. Except to the extent applicable law, if any, provides otherwise, these Terms of Use, any access to or use of the Site will be governed by the laws of the State of Colorado, USA, excluding its conflict of law provisions, and the proper venue for any disputes arising out of or relating to any of the same will be the provincial and federal courts located in Denver, Colorado. The prevailing party in any action or proceeding to enforce these Terms of Use shall be entitled to costs and attorneys’ fees. If any part of these Terms of Use is held invalid or unenforceable, that part will be construed to reflect the parties’ original intent, and the remaining portions will remain in full force and effect. A waiver by either party of any term or condition of these Terms of Use or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof. You may assign your rights under these Terms of Use to any party that consents to, and agrees to be bound by, its terms and conditions; Unite may assign its rights under these Terms of Use without condition. These Terms of Use will be binding upon and will inure to the benefit of the parties, their successors and permitted assigns.
